Form 8-K: This somewhat rarer form is issued when an event substantial enough
that it must be published as an official update to the 10-K occurs. An 8-K might be
issued because of bankruptcy, a departing CEO, or changes to shareholders??™ rights.
Forms 3, 4, and 5: These report on insider trading. These must be filed for anyone
with more than a 10 percent stake in the company. Because of insider trading scandals
in the past, the SEC passed a regulation stating that all insider trading reports
must be published on a company??™s website for public viewing.
